David Jason Wells is the founder of Wells Technology Counsel, a fractional general counsel practice focused on concierge services for health-tech and B2B software companies.
Before joining the Texas bar, David spent almost twenty years in health-tech, specializing in the build and delivery of patient and physician e-signature software to more than 500 U.S. hospitals and thousands of clinics. During that time he built and led the product organization while functioning as the startup’s de facto legal and contracts lead for direct sales, partnerships, and engineering.
His work there included:
- Owning all new-logo and non-standard contract negotiations, privacy addenda, and partner agreements;
- Advising the Owner/CEO directly on royalty agreements with partners and other major business decisions, including risk across partnership structures and the product roadmap;
- Building and running the company’s HIPAA and HITECH Privacy and Security Compliance Program;
- Advising clients on the fit and feasibility of biometric e-signature validation systems built to exceed AHIMA guidance and align with FDA 21 CFR Part 11;
- Digitizing forensic nursing documentation for sexual assault cases in partnership with a regional hospital system and local law enforcement, work that went on to influence Texas state policy;
- Navigating e-signature and consent law across the U.S., Canada, the EU, and the UK, including a nationwide immunization consent initiative with health authorities in the UAE;
- Drafting the master partner agreement adopted across an entire hospital-technology vendor ecosystem;
- Leading a competitive OEM partnership win that resulted in a white-labeled e-signature product distributed worldwide;
- Collaborating with a registered patent agent on the technical disclosure and application for a patent later granted by the USPTO, Patent No. US-10445420-B2;
- Serving on the executive team as Product lead through the owner’s selection of and sale to a strategic buyer, leading the product transition and knowledge transfer to the acquiring company.
David now gives that same senior commercial and product judgment to health-tech and software companies who choose not to operate at the pace typically imposed by a traditional law firm.
